Vagare Terms of Use

This is a translation of the original Portuguese version. If the versions differ, the Portuguese version prevails, unless the law of your country requires the version in your language to prevail.

These Terms govern the use of the Vagare app, offered by MRK Consultoria em Tecnologia da Informação Ltda., registered under CNPJ 43.498.662/0001-46 ("Vagare", "we"). By creating an account or using the app, you agree to these Terms and to the Privacy Policy. These Terms apply to users in every country where Vagare is available.

1. The service

Vagare is a travel planning app. With it, you create itineraries with the help of an artificial intelligence assistant, adjust dates, cities and activities, and share itineraries with other people.

2. Your account

• You must be at least 18 years old to use Vagare.
• The information you provide when signing up must be true.
• You are responsible for keeping your password secret and for everything that happens in your account.
• You can delete your account at any time under Account → Delete account.

3. Content generated by artificial intelligence

• Itineraries, suggestions and replies from the assistant are generated automatically and **may contain errors**, such as outdated or incorrect opening hours, prices, addresses, distances and availability.
• Suggestions are for reference only. **Check important information directly with businesses, carriers and authorities before you travel.**
• Vagare does not make bookings, does not sell tickets or accommodation and is not responsible for third-party services suggested in the itinerary.
• We are not responsible for decisions made solely on the basis of generated content, nor for losses resulting from incorrect third-party information, to the extent permitted by law.

4. Plans and subscription

4.1 Free plan

The free plan lets you try Vagare within the limits described in section 5.

4.2 Vagare Pro

• Vagare Pro is an auto-renewing subscription, purchased and billed by Apple to the Apple account used for the purchase.
• The price and period are shown on the subscription screen before you confirm.
• The subscription renews automatically at the end of each period unless it is cancelled **at least 24 hours before** the end of the current period.
• To cancel, go to Settings → your name → Subscriptions on your iPhone. You keep Pro access until the end of the period already paid.
• Refunds are decided by Apple, under its own rules, at reportaproblem.apple.com.
• In the European Union and the United Kingdom, Apple allows you to request a refund within 14 days of purchase, under its own rules.
• Deleting your account does not cancel your subscription.
• We may change the subscription price. Apple notifies you of increases and, when required, asks for your agreement before renewal.

5. Fair use and limits

To keep the service stable and prevent abuse, each plan has usage limits on artificial intelligence features. When Vagare Pro is advertised as "unlimited", the fair use limits below apply.

In addition to these limits, there is a technical consumption cap on artificial intelligence per account. Once it is reached, artificial intelligence features are unavailable until the next cycle starts. Editing itineraries manually remains available.

We may adjust these limits. Reductions that affect subscribers will be announced 30 days in advance.

6. Rules of use

You agree not to:

• use Vagare for illegal activities or to plan acts that harm people;
• try to get around usage limits, plans or security mechanisms;
• access other people's accounts or collect data about other users;
• send content that is illegal, offensive or infringes third-party rights, including in photos and shared itineraries;
• overload, copy, reverse engineer or resell the service.

We may suspend or terminate accounts that violate these Terms.

7. Sharing itineraries

• When you share an itinerary, you decide who can view or edit it.
• People with edit permission can change the itinerary.
• Invitations expire after 30 days.
• You are responsible for the content you share.

8. Your content

• The itineraries, photos and text you create remain yours.
• You authorize us to store, process and display this content only to provide the service, including sending it to the providers described in the Privacy Policy.

9. Intellectual property

The app, its brand, design and code belong to MRK Consultoria em Tecnologia da Informação Ltda. Destination images may be provided by third parties, such as Unsplash and Google, and follow those providers' licenses.

10. Availability

We aim to keep Vagare available, but the service may be interrupted for maintenance or because of provider failures. We may change, add or remove features.

11. Liability

To the extent permitted by law, Vagare is provided "as is". Nothing in these Terms excludes or limits:

• consumer rights guaranteed by the law of the country where you live, such as the Consumer Protection Code in Brazil;
• our liability for death or personal injury caused by negligence, for fraud or for any other situation in which the law does not allow such exclusion or limitation.

12. Changes to these Terms

We may update these Terms. Relevant changes will be announced in the app before they take effect. If you keep using Vagare after that, the new rules apply.

13. Governing law and jurisdiction

These Terms are governed by Brazilian law. The courts of the district of São Caetano do Sul, São Paulo, Brazil, are chosen as the venue, without prejudice to the consumer's right to bring an action in the courts of their place of residence.

If you are a consumer and live outside Brazil, you remain protected by the mandatory rules of the law of your country, which prevail over these Terms when they are more favorable to you, and you may bring an action in the courts of the place where you live.

14. Download from the App Store

These conditions apply when you download Vagare from Apple's App Store:

• These Terms are an agreement between you and MRK, not with Apple. MRK, not Apple, is solely responsible for Vagare and its content.
• You receive a limited, personal and non-transferable license to use Vagare on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service. The app may also be used by other accounts associated with yours through Family Sharing, where available.
• MRK is solely responsible for the maintenance and support of the app. Apple has no obligation whatsoever to provide maintenance or support.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any. To the extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app. Any other claims, losses or expenses attributable to a failure to conform to a warranty are MRK's responsibility.
• MRK, not Apple, is responsible for addressing any claims by you or third parties relating to the app, including product liability claims, failure to comply with legal or regulatory requirements, and claims arising under consumer protection, privacy or similar laws.
• If anyone claims that the app or your use of it infringes a third party's intellectual property rights, MRK, not Apple, is responsible for the investigation, defense, settlement and discharge of the claim.
• You represent that you are not located in a country that is subject to a United States Government embargo or that has been designated by the United States Government as a terrorist supporting country, and that you are not listed on any United States Government list of prohibited or restricted parties.
• When using the app, you must comply with applicable third-party terms, such as your agreement with your internet service provider.
• Apple and its subsidiaries are third-party beneficiaries of these Terms. By accepting them, you acknowledge Apple's right to enforce these Terms against you as a third-party beneficiary.
